The scope of services, timelines, and deliverables will be defined in a written statement of work or engagement agreement.
5.2 Service Outcomes
While we aim to deliver measurable improvements, specific results depend on your environment and cooperation, and are not guaranteed unless explicitly stated in writing.
5.3 Payment Terms
Payment terms, billing cycles, and cancellation policies are outlined in individual engagement agreements. All fees are non-refundable unless otherwise specified in writing.
6. Intellectual Property
All content, features, and functionality of our services, including but not limited to text, graphics, logos, software, and design, are owned by BDC or our licensors and are protected by copyright, trademark, and other intellectual property laws.
You may not copy, modify, distribute, sell, or lease any part of our services without our express written permission.
7. Confidentiality
You may have access to confidential information through our services. You agree to maintain the confidentiality of such information and not disclose it to third parties without our prior written consent.
8. Disclaimers and Limitation of Liability
8.1 Service Disclaimer
Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or secure.
8.2 Limitation of Liability
To the maximum extent permitted by law, BDC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total liability shall not exceed the amount paid by you for our services in the twelve (12) months preceding the claim.
9. Indemnification
You agree to indemnify, defend, and hold harmless BDC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of or related to your use of our services, violation of these Terms, or infringement of any third-party rights.
10. Termination
We reserve the right to suspend or terminate your access to our services at any time, with or without cause or notice, for any reason including violation of these Terms. Upon termination, your right to use our services will immediately cease.
You may terminate your account at any time by contacting us. Termination does not relieve you of any obligations incurred prior to termination.
11. Dispute Resolution
11.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
11.2 Arbitration
Any dispute arising out of or relating to these Terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, and judgment on the award may be entered in any court having jurisdiction.
11.3 Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
12. Modifications to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our services after such changes constitutes acceptance of the modified Terms.
13. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
14. Entire Agreement
These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and BDC regarding the use of our services.
